Membership Terms

These Membership Terms govern your participation in the NOTOXIC® Universe membership program (1C Program), including Essential, Premium, and Signature tiers. By purchasing or renewing a membership, you agree to these terms.

1. Membership Tiers and Benefits

NOTOXIC® Universe offers three membership tiers, each with distinct benefits and privileges. Membership provides access to all brands, community features, and exclusive benefits.

1.1 Essential Tier

Entry-level membership with core benefits:

  • Brand Access: Access to all NOTOXIC® Universe brands (OneSea, Sustainable Clothing™, HeartQuench, etc.)
  • Community: Basic community features and NOTOXIC® Circle access
  • Shipping: Standard shipping rates apply
  • Impact Tracking: Access to impact tracking dashboard (water saved, CO₂ avoided, chemicals reduced)
  • Plan C: Eligibility to participate in Plan C circular economy program
  • Badge System: Earn badges through purchases and engagement
  • Credit Earning: Earn credits on purchases (standard rate)

1.2 Premium Tier

Enhanced membership with additional benefits:

  • All Essential Benefits: All Essential tier benefits included
  • Monthly Credits: Monthly credit allocation (amount varies by billing cycle - monthly or annual)
  • Free Shipping: Free shipping on orders above ₹1,500
  • Early Access: Early access to product launches and new collections
  • Exclusive Content: Access to member-only events, content, and experiences
  • Priority Support: Priority customer support with faster response times
  • Enhanced Credit Earning: Higher credit earn rate on purchases
  • Invite Privileges: Ability to invite friends (invite limits apply)

1.3 Signature Tier

Premium membership with maximum benefits:

  • All Premium Benefits: All Premium tier benefits included
  • Enhanced Credits: Higher monthly credit allocation than Premium tier
  • Free Shipping: Free shipping on all orders (no minimum threshold)
  • VIP Access: VIP access to events, experiences, and exclusive opportunities
  • Personalization: Personalized styling services and product recommendations
  • Exclusive Products: Access to Signature tier exclusive products and collections
  • Dedicated Support: Dedicated account manager for personalized assistance
  • Maximum Credit Earning: Highest credit earn rate on purchases
  • Extended Invite Privileges: Higher invite limits and special invite benefits

1.4 Membership Enrollment

To enroll in membership:

  • Select your desired tier (Essential, Premium, or Signature)
  • Choose billing cycle (monthly or annual)
  • Complete payment for membership fee
  • Membership activates immediately upon payment confirmation
  • Benefits and credits are available immediately

1.5 Tier Upgrades and Downgrades

You can upgrade or downgrade your membership tier:

  • Upgrades: Upgrade anytime; prorated charges apply; benefits activate immediately
  • Downgrades: Downgrade takes effect at next billing cycle; current benefits continue until period ends
  • Credits: Credits are tier-specific; unused credits may expire upon downgrade

2. Credits System and Rules

The membership credit system allows you to earn and redeem credits for purchases and services. Credits are a key benefit of Premium and Signature tier memberships.

2.1 Credit Allocation

Credits are allocated based on membership tier and billing cycle:

  • Monthly Allocation: Credits are added to your wallet upon membership activation and each monthly renewal
  • Annual Allocation: For annual memberships, credits may be allocated monthly or as a lump sum (as specified)
  • Credit Amounts: Credit amounts are specified at time of purchase and may vary by tier and promotional offers
  • Non-Transferable: Credits cannot be transferred between accounts or to other users

2.2 Credit Earning

In addition to allocated credits, you can earn credits through:

  • Purchases: Earn credits on purchases (percentage varies by tier)
  • Plan C Returns: Earn credits when returning items through Plan C™ circular economy program
  • Referrals: Earn credits when invited friends join and make purchases (if applicable)
  • Engagement: Earn credits through community participation and activities (if applicable)

2.3 Credit Validity and Expiration

Credits are valid for:

  • Active Membership: Credits are valid for the duration of your active membership period
  • Expiration: Credits expire upon membership cancellation or non-renewal
  • Carry-Over: Unused credits from previous billing cycle may or may not carry over (varies by tier and terms)
  • Expiry Date: Credits may have specific expiry dates (check your account dashboard)
  • Early Expiry: Credits may expire early if membership is terminated for violations

2.4 Credit Usage

Credits can be used for:

  • Product Purchases: Apply credits toward product purchases across all NOTOXIC® Universe brands
  • Service Fees: Use credits for eligible service fees across the ecosystem
  • Membership Renewals: Apply credits toward membership renewal fees
  • Partial Payment: Credits can be combined with other payment methods for remaining balance

Credits cannot be used for:

  • Shipping charges (unless explicitly specified for your tier)
  • Taxes (GST and other taxes must be paid separately)
  • Cash conversion or refund
  • Transfer to other accounts

2.5 Credit Redemption Limits

Credit redemption may be subject to limits:

  • Redemption Cap: Maximum percentage of order value that can be paid with credits (varies by tier)
  • Minimum Order: Minimum order value required to use credits (if applicable)
  • Restrictions: Some products or services may not be eligible for credit redemption

3. Non-Transferability

Membership benefits, credits, and privileges are:

  • Non-transferable to other accounts or individuals
  • Tied to the account holder's identity
  • Cannot be sold, traded, or gifted
  • Subject to account verification

Violation of transferability terms may result in membership termination and forfeiture of benefits.

4. Membership Fees and Payment

4.1 Membership Fees

Membership fees vary by tier and billing cycle:

  • Essential Tier: Monthly or annual fee (pricing displayed at checkout)
  • Premium Tier: Monthly or annual fee (higher than Essential; annual billing offers discount)
  • Signature Tier: Monthly or annual fee (highest tier; annual billing offers significant discount)
  • GST: All fees are exclusive of GST; GST is added at checkout
  • Price Changes: Fees may change; existing members are notified 30 days in advance

4.2 Billing Cycles

Memberships are available in:

  • Monthly Billing: Recurring monthly payments; higher per-month cost
  • Annual Billing: One-time annual payment; discounted rate (typically 15-20% savings)

4.3 Payment Methods

Membership fees can be paid using:

  • Credit/debit cards
  • UPI
  • Net banking
  • Digital wallets
  • Membership credits (for renewals)

4.4 Renewal and Auto-Renew Terms

By default, memberships are set to auto-renew:

  • Auto-Renewal: Auto-renewal occurs at the end of each billing cycle
  • Payment: Payment is automatically charged to your registered payment method
  • Notification: You will receive email notification 7 days before renewal date
  • Disable: You can disable auto-renewal at any time through account settings or customer support
  • Credits: New credits are allocated upon successful renewal

4.5 Renewal Failure

If auto-renewal fails due to:

  • Payment method issues (expired card, insufficient funds, etc.)
  • Bank or card issuer decline
  • Payment gateway errors

Consequences:

  • Immediate Suspension: Membership is suspended immediately upon payment failure
  • Grace Period: You have 7 days to update payment method and complete renewal
  • Retry Attempts: We may automatically retry payment once or twice during grace period
  • After Grace Period: After 7 days, if payment is not completed:
    • Membership is canceled
    • All benefits and access are forfeited
    • Unused credits expire
    • You can reactivate by making payment (new membership terms apply)

5. Badge System Disclaimer

The membership badge system recognizes achievements and engagement:

  • Badges are earned through specific actions (purchases, Plan C returns, community participation)
  • Badge criteria may change without notice
  • Badges are digital and non-transferable
  • Badge benefits are subject to terms and availability
  • NOTOXIC® Universe reserves the right to modify or revoke badges

Badges are for recognition purposes and do not constitute a contractual benefit unless explicitly stated.

6. Expiry Rules

6.1 Membership Expiry

Upon membership expiry (non-renewal or cancellation):

  • Access to membership benefits ceases immediately
  • Unused credits expire and are forfeited
  • Account reverts to standard user access
  • Impact tracking data is retained but access may be limited

6.2 Credit Expiry

Credits expire:

  • Upon membership cancellation
  • Upon membership non-renewal
  • At the end of billing cycle (if not used and carry-over not applicable)

Expired credits cannot be reinstated or refunded.

7. Refund Policy for Membership Purchases

7.1 Cooling-Off Period

You may cancel your membership and request a full refund within 7 days of initial purchase, provided:

  • No credits have been used
  • No membership benefits have been utilized
  • Request is made through customer support

7.2 Partial Refunds

Partial refunds may be considered for:

  • Annual memberships canceled mid-term (prorated based on unused period)
  • Technical issues preventing access to membership benefits
  • Service discontinuation by NOTOXIC® Universe

7.3 Non-Refundable

Membership fees are non-refundable after:

  • 7-day cooling-off period has passed
  • Credits have been used
  • Membership benefits have been utilized

8. Membership Changes and Modifications

NOTOXIC® Universe reserves the right to:

  • Modify membership benefits, features, or pricing
  • Add or remove membership tiers
  • Change credit allocation or validity rules
  • Update terms and conditions

Material changes will be communicated via email 30 days in advance. Continued use of membership after changes constitutes acceptance.

9. Membership Suspension and Termination

9.1 Suspension

We may suspend your membership (temporary restriction) for:

  • Payment failure or outstanding balances
  • Investigation of potential violations
  • Security concerns or suspicious activity
  • Account verification requirements

During suspension, access to benefits is restricted. Suspension may be lifted upon resolution of the issue.

9.2 Termination by NOTOXIC® Universe

We may terminate your membership (permanent cancellation) for:

  • Terms Violations:Violation of Terms & Conditions or Community Guidelines
  • Fraudulent Activity: Fraudulent transactions, payment disputes, or chargebacks
  • Abusive Behavior: Abusive, harassing, or threatening behavior toward staff or community members
  • Non-Payment: Persistent non-payment or payment failures after grace period
  • Account Sharing: Unauthorized sharing or transfer of membership benefits
  • Legal Issues: Involvement in illegal activities or legal violations

9.3 Consequences of Termination

Upon termination:

  • All membership benefits and access cease immediately
  • Unused credits are forfeited and cannot be recovered
  • Account reverts to standard user access
  • No refunds are provided for terminated memberships
  • Re-enrollment may be restricted or require approval

9.4 Termination by Member

You may terminate your membership at any time:

  • Cancel through account settings or customer support
  • Membership continues until end of current billing period
  • Benefits and credits remain available until period ends
  • No refunds for unused period (except as per Section 7)
  • Unused credits expire upon period end

10. Membership Access and Privileges

10.1 Access Rights

Membership provides access to:

  • All Brands: Access to all NOTOXIC® Universe brands and products
  • Member-Only Products: Exclusive products available only to members (varies by tier)
  • Community Features: NOTOXIC® Circle access, forums, and community engagement
  • Events: Access to member-only events, launches, and experiences
  • Content: Exclusive content, styling guides, and educational resources

10.2 Privileges

Membership privileges include:

  • Priority customer support
  • Early access to sales and promotions
  • Special member pricing (where applicable)
  • Invite privileges (for Premium and Signature tiers)
  • Impact tracking and reporting
  • Badge system participation

10.3 Access Restrictions

Access may be restricted if:

  • Membership is suspended or terminated
  • Payment is overdue or failed
  • Account is under investigation
  • Terms violations are suspected

11. Membership Transfer and Sharing

11.1 Non-Transferability

Membership is strictly non-transferable:

  • Account-Specific: Membership is tied to your account and cannot be transferred to another account
  • Personal Use: Membership benefits are for personal use only
  • No Sharing: Account sharing or allowing others to use your membership is prohibited
  • No Sale: Membership cannot be sold, traded, or gifted

11.2 Account Verification

We may verify account ownership:

  • Identity verification may be required for certain transactions
  • Suspicious activity may trigger verification checks
  • Account sharing may result in membership termination

11.3 Invite System

Premium and Signature tier members may invite friends:

  • Invite Limits: Invite limits apply (varies by tier)
  • Invite Benefits: You may earn credits or benefits when invited friends join (if applicable)
  • Invite Restrictions: Invites must be used by new members only; cannot be transferred

12. Dispute Resolution

12.1 Contact Support

For membership-related disputes or issues:

  • Contact customer support first
  • Provide details of the issue or dispute
  • We will investigate and respond within 5-7 business days
  • We are committed to fair resolution

12.2 Escalation

If dispute is not resolved:

  • Request escalation to management
  • Provide all relevant documentation
  • Management review and decision (within 10 business days)

12.3 Legal Recourse

Disputes are subject to:

  • Terms & Conditions dispute resolution procedures
  • Applicable laws and jurisdiction
  • Arbitration or mediation (if specified in Terms)
